The Lyrebird website and service including (without limitation) all websites, mobile applications and other interactive properties through which the service is delivered (collectively, the “Service”) are owned, operated and distributed by Duj Corp (referred to in these Terms of Service as “Lyrebird” or “we” and through similar words such as “us,” “our,” etc.). By accessing any part of the Service, you are agreeing to the terms and conditions described below (these “Terms of Service”), the terms and conditions of our privacy policy (the “Privacy Policy”) and any other legal notices published by us on the Service (collectively, the “Governing Documents”). If you do not agree to any of these terms, you should not use the Service. These Terms of Service apply to all users, including both users who are simply viewing content available via the Service and users who have registered as members of Lyrebird. If you are a business to business purchaser of Lyrebird for Schools, your access and use of the Service are additionally subject to the Master Services Agreement which is located at https://lyrebirdbeatbox.com/master-services-agreement/ (coming soon)
We may, at our sole discretion, modify these Terms of Service at any time. By accessing the Service at any time after such modifications, you are agreeing to such modifications. These Terms of Service were last modified as of December 15th, 2020.
The Lyrebird Service allows students to find classes that they are interested in taking, and allows teachers to find students interested in taking their classes.
We reserve the right to refuse to provide the Service to any person for any reason and/or to discontinue the Service in whole or in part at any time, with or without prior notice.
The entire contents of the Service are protected by international copyright and trademark laws and other proprietary rights. The owners of the copyrights and trademarks are Lyrebird, its affiliates and/or other third party licensors. YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SERVICE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE. You may print and download portions of material from the different areas of the Service solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials, and not to share any material that you paid for with anyone else who has not also purchased a license for that material.
You may not use any robots, spiders, or similar data mining, data gathering or extraction tools or manual processes to collect, gather or copy any content or data on or related to the Service in a manner not authorized by Lyrebird Beatbox School in writing. You may not engage in practices of “screen scraping,” “database scraping” or any other practice or activity the purpose of which is to obtain lists of users, portions of a database, or other lists or information from the Service, in any manner and any quantities not authorized by Lyrebird in writing. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout or form) of Lyrebird or its affiliates without express written consent. You may not use meta tags or any other “hidden text” utilizing the Lyrebird name or trademarks without the express written consent of Lyrebird.
Content submitted by users for inclusion on the Service (including, without limitation, any information submitted on message boards, forums or other public areas of the Service) is sometimes referred to in these Terms of Service as “User Submissions.” Whether or not any User Submission is published, it will be subject to these Terms of Service. Lyrebird does not guarantee any confidentiality with respect to a User Submission, regardless of whether or not it is published. You are solely responsible for your own User Submissions and the consequences of posting or publishing them. You represent and warrant that you own or have the necessary licenses, rights, consents and permissions to your User Submissions (and all content included therein), including the right to authorize Lyrebird to use the User Submissions in the manner contemplated by the Service and these Terms of Service.
You hereby grant to Lyrebird a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any User Submissions or any other materials or information (including, without limitation, ideas for new or improved products or services) you communicate to Lyrebird by all means and in any media now known or hereafter developed. You also grant to Lyrebird the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against Lyrebird for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Lyrebird.
We neither endorse nor assume any liability for the contents of any User Submission. We generally do not pre-screen, monitor, or edit User Submissions. However, we and our agents have the right at their sole discretion to remove any User Submission or other content that, in our judgment, does not comply with these Terms of Service and any other rules of user conduct for the Service, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing any such User Submission or other content. You hereby consent to such removal and waive any claim against us arising out of such removal of any User Submission, whether it is your own or another user’s. See “Copyrights, Licenses and User Submissions” above for a description of the procedures to be followed in the event that any party believes that a User Submission infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party.
Lyrebird will not tolerate violations of intellectual property rights on the Service. If you are a copyright owner and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”). To provide Lyrebird notice of an infringement, you must provide a written communication to the attention of “DMCA Infringement Notification Dept.” by using our contact form that sets forth the information specified by the DMCA (see http://www.copyright.gov/title17/92chap5.html#512). You may be liable for damages (including costs and attorneys’ fees) if you materially misrepresent that an activity is infringing your copyright.

When a student takes a class on Lyrebird, we will share the student’s username and profile with the teacher for the purpose of teaching these students on Lyrebird. By enrolling in a class on Lyrebird, a student grants to us permission to share that student’s information with the teacher. The teacher is required to respect the privacy of the student. The teacher has a limited license to use this information only for Lyrebird-related communications or for Lyrebird-facilitated transactions. The teacher may use that personal information for no other purpose, such as sending unsolicited commercial messages or unauthorized transactions. Without express consent from that person, you must not add any Lyrebird misuse any student’s personal information. Remember that you need to comply with all relevant legal rules when you use Lyrebird. This include applicable data protection and privacy laws which govern the ways in which you can use another Lyrebird user’s information.
These Terms of Service and the Governing Documents are in addition to any agreements, releases or other documents (the “Class Agreements”) that a teacher and student may enter into in connection with a class, including any Class Agreements entered into through the Service. Students and teachers are each responsible to the other for complying with the terms of the Class Agreements, but Lyrebird has no control over either party’s compliance. Among other things, Lyrebird cannot control (a) the provisions of the Class Agreements, (b) the accuracy or legality of the Class Agreements or (c) any party’s performance of its obligations under the Class Agreements. Accordingly, Lyrebird Beatbox School shall not be held responsible for any liability arising out of the Class Agreements or any actions that you may take in reliance thereon, and is not a party to any transaction between you and any other user. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE LYREBIRD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “LYREBIRD PARTIES”) FROM ANY CLAIMS OR DAMAGES OF ANY KIND OR NATURE, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, RELATING TO ANY DISPUTE RELATING TO THE CLASS AGREEMENTS OR ANY TRANSACTION OR ATTEMPTED TRANSACTION WITH ANOTHER USER OF THE SERVICE (WHETHER A STUDENT OR TEACHER). Your teaching or participation in a class is at your sole risk. Lyrebird does not supervise classes and is not involved in any way with the actions of any individuals (whether students or teachers) at any class. As a result, we have no control over the identity or actions of the individuals who are present at these classes, and we request that our users exercise caution and good judgment when participating in Classes. You acknowledge and agree that by participating in any class (whether as a student or teacher) you may be exposed to a variety of risks and hazards, which may or may not be foreseen, including (without limitation) personal injury, property damage and death. You are solely responsible for all costs and/or risks associated with your participation in any class. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE LYREBIRD AND EACH OF THE OTHER LYREBIRD PARTIES FROM ANY CLAIMS OR DAMAGES OF ANY KIND OR NATURE, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, RELATING TO YOUR PARTICIPATION IN ANY EVENT, WHETHER AS A STUDENT OR TEACHER. YOU AGREE AND UNDERSTAND AND INTEND THAT THIS ASSUMPTION OF RISK AND RELEASE IS BINDING UPON YOU AND YOUR HEIRS, EXECUTORS, AGENTS, ADMINISTRATORS AND ASSIGNS.
As a teacher on Lyrebird Beatbox School, you may participate in our “Premium Referral Program” by referring potential students to the Service. Under the Premium Referral Program, you will receive an award of 5€ for each new user that visits Lyrebird through your unique referral link and pays for their first month (or year) of Premium Membership. Award payments are subject to forfeiture or clawback if the student disputes the credit card charge or otherwise violates the payment terms, or if the teacher is found to be in violation of our terms. You will receive this reward within 50 days of the student paying for Premium Membership.
In order to receive a Premium Referral Award, each of the following requirements must be met: (i) you must log in to your Lyrebird Beatbox School account on the Service and locate your “Referral Link”; (ii) you must share the Referral Link generated by Lyrebird with friends, family, and followers; (iii) a student who clicks your Referral Link must create a Lyrebird account and make his first Premium Membership payment.
Lyrebird is not responsible or liable for any refunds for Premium Membership, workshops, or other purchases on the Service.

The membership fee will be billed on the beginning of the paying portion of your membership and each month or year thereafter unless and until you cancel your membership. We automatically bill your Payment Method each month on the calendar day corresponding to the commencement of your paying membership. We reserve the right to change the timing of our billing, in particular, as indicated below, if your Payment Method has not successfully settled. In the event your paying membership began on a day not contained in a given month, we may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. For example, if you started your Premium Membership or became a paying member on March 31st, your next payment date is likely to be April 30th, and your Payment Method would be billed that date.
Payments are nonrefundable and there are no refund or credits for partially used periods. Following any cancellation, however, you will continue to have the benefits of your Lyrebird Membership through the end of your current billing period.
We don’t sell any subscriptions for the moment, so we haven’t been able to charge your bank for a subscription.

From time to time, we or others on our behalf may offer trials of paid subscriptions for our Lyrebird Premium Membership for a specified period without payment or at a reduced rate (a “Trial”). Lyrebird reserves the right, in its absolute discretion, to determine your eligibility for a Trial, and, subject to applicable laws, to withdraw or to modify a Trial at any time without prior notice and with no liability, to the greatest extent permitted under the law.
For some trials, we will require you to provide your payment details to start the Trial. At the end of such trials, we may automatically start to charge you for the applicable paid subscription on the first day following the end of the trial on a recurring monthly or annual basis. When you provide a Payment Method, we will attempt to verify the information you entered by processing an authorization hold. We do not charge you in connection with this authorization hold, but your available balance or credit limit may be reduced. By providing your payment details in conjunction with the trial, you agree to this charge using such payment details. If you do not want this charge, you must cancel the applicable paid subscription through your payment settings within your Lyrebird account profile located at https://www.lyrebirdbeatbox.com/settings/payments (coming soon).
We reserve the right to adjust pricing for our service, or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms of Use, any price changes to your service will take effect following email notice to you.
You may participate in our “Student Referral Program” by referring potential students to the Service. Under the Student Referral Program, you will receive an award (a “Student Referral Award”) of 1 free month of Premium Membership for each Qualified Student Referral (as hereinafter defined) redeemable only when you upgrade your Lyrebird account to a Premium Membership.
In order to receive a Student Referral Award, each of the following requirements must be met (any referral for which all such requirements are met hereinafter referred to as a “Qualified Student Referral”): (i) you must log in to your Lyrebird account on the Service and select the “Invite Friends” link; (ii) you must share the link provided with friends via Facebook, Twitter or similar services, by copying and pasting the Unique Referral Link generated via the Service, by sending the Unique Referral Link in an email via the Services to your friends, or by using the other tools provided by Lyrebird to share the Unique Referral Link with friends; and (iii) a friend who clicks the Unique Referral Link must create a Lyrebird account and successfully pay for the first month of Premium Membership that is not refunded.
We reserve the right to suspend your account and remove referrals should we notice any activity we determine as abuse of the referral program.
Satisfaction of a Qualified Referral (as hereinafter defined) and the Referral Award (as hereinafter defined) you receive will be reflected in your Lyrebird account in a commercially reasonable amount of time after the Qualified Referral has been completed. The Referral Awards you accrue will be displayed in your Lyrebird account referrals page. Referral Awards can be accrued solely by you and you may not earn Referral Awards by permitting another individual to use your Lyrebird account. Referral Awards accrued in multiple Lyrebird accounts may not be combined into one Lyrebird account. You may not earn Referral Awards by creating multiple Lyrebird accounts.
For purposes hereof, a “Qualified Referral” means a Qualified Student Referral, and a “Referral Award” means a Student Referral Award.
We reserve the right to suspend your account and remove referrals should we notice any activity we determine as abuse of the referral program.

The Classes offered on Lyrebird are offered directly by the teachers. Lyrebird is not responsible or liable for any information on its Service listings or profiles. Lyrebird is not responsible for any changes made to a class by the teacher.
You understand and agree that temporary interruptions of the Service may occur as normal events. You further understand and agree that we have no control over third party networks you may access in the course of the use of the Service, and therefore, delays and disruption of other network transmissions are completely beyond our control.
You understand and agree that the Service is provided “AS IS” and that we assume no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.
SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

FURTHER, NEITHER WE,NOR ANY OTHER LYREBIRD PARTY, SHALL BE LIABLE IN ANY WAY FOR ANY CLASS OR OTHER THIRD PARTY GOODS AND SERVICES OFFERED THROUGH THE SERVICE OR FOR ASSISTANCE IN CONDUCTING COMMERCIAL TRANSACTIONS WITH OTHER USERS OF THE SITE, INCLUDING WITHOUT LIMITATION ANY TRANSACTION BETWEEN A STUDENT AND TEACHER.
SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Upon a request by us, you agree to defend, indemnify, and hold us and the other Lyrebird Parties harmless from all liabilities, claims, and expenses, including attorneys’ fees, that arise from your violation of these Terms of Service or any of the other Governing Documents, or other negligent or wrongful conduct. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses
You agree that the Service shall be deemed a passive interactive service based solely in Nantes, France and shall not give rise to personal jurisdiction over Lyrebird, either specific or general, in jurisdictions other than Nantes, France. These Terms of Service, together with the Privacy Policy and the other Governing Documents, shall all be governed and construed in accordance with the internal laws of France, without regard to conflicts of law principles. You agree that any legal action or proceeding between Lyrebird and you for any purpose concerning these Terms of Service, the Privacy Policy, the other Governing Documents or your use of the Service shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Nantes, France.
Any cause of action or claim you may have with respect to any of the foregoing matters must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred.
You and Lyrebird agree that any dispute or claim arising from or relating to the Terms shall be finally settled by arbitration, using the French language, administered by the French Law under its Commercial Arbitration Rules then in effect (those rules are deemed to be incorporated by reference into this section). Our arbitration will be handled by a sole arbitrator in accordance with those rules. Judgment on the arbitration award may be entered in any court located in Nantes, France that has jurisdiction. Any arbitration under the Terms will take place on an individual basis: class arbitrations and class actions are not permitted. You understand that by agreeing to the Terms, you and Lyrebird are each waiving the right to trial by jury or to participate in a class action. Notwithstanding the foregoing, each party shall have the right to bring an action in a court of proper jurisdiction for injunctive or other equitable or conservatory relief, pending a final decision by the arbitrator.
These Terms of Service, together with the Privacy Policy and the other Governing Documents, constitute the entire agreement between you and Lyrebird concerning the Service and the services provided by Lyrebird. If any provision of any such document is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions thereof, which shall remain in full force and effect. Lyrebird’s failure to insist upon or enforce strict performance of any provision of these Terms of Service or any of the other Governing Documents shall not be construed as a waiver of any provision or right. Most communication between Lyrebird and you will be sent and received electronically. You agree that all electronic communication between Lyrebird and you shall satisfy any legal requirements that such communications be in writing.

Welcome to Lyrebird, an online platform community created by Duj Corp. E.I. to provide to Human Beatbox teachers and amators an interactive place to learn and share their passion, professionalise the discipline and enhance careers of beatboxers and future beatboxers.
The Lyrebirdbeatbox.com and service including (without limitation) all websites, mobile applications and other interactive properties through which the service is delivered (collectively, the “Platform”) are owned, operated and distributed by Duj Corp E.I. (referred to in these Terms of Service as “Lyrebird” or “we” and through similar words such as “us,” “our,” etc.). By accessing any part of the Service, you are agreeing to the terms and conditions described below (these “Terms of Service”), the terms and conditions of our privacy policy (the “Privacy Policy”) and any other legal notices published by us on the Service (collectively, the “Governing Documents”). If you do not agree to any of these terms, you should not use the Service. These Terms of Service apply to all users, including both users who are simply viewing content available via the Service and users who have registered as teacher or student of Lyrebird. If you are a business to business purchaser of Lyrebird for Schools, your access and use of the Service are additionally subject to the Master Services Agreement which will be located at https://lyrebirdbeatbox.com/master-services-agreement/ (coming soon)
We may, at our sole discretion, modify these Terms of Service at any time. By accessing the Service at any time after such modifications, you are agreeing to such modifications. These Terms of Service were last modified as of December 15th, 2020.
Your privacy is very important to us. Accordingly, we have developed this Privacy Policy in order for you to understand how we collect, use, communicate and disclose and make us of Personal Data (as defined below). The following outlines our privacy policy.
When you register with us and become a Lyrebird Member, when you choose to teach or attend a class, we will ask you for Personal data. “Personal Data” refers to information about you that can be used to contact or individually identify you. This includes, but is not limited to, your name, email address, but does not include your credit card number or billing information. Transactions on Lyrebird involving your billing and payment information are processed by PayPal and Stancer and are subject to their privacy policies. We do not store any of the credit card or banking information that you provide to these payment processors. Direct deposit payments to teachers for lessons scheduled will be made through Stancer. Stancer has its own privacy which governs how your information is handled.
The third parties used by the site to make disbursements to teachers, depending on the manner in which teachers choose to receive disbursements, are Stancer and PayPal (online payments to your Paypal account). If you as a teacher would like to receive disbursement by direct deposit, you may need to provide us with additional Personal Data including your bank account, routing number, bank name, and your street address. If you as a teacher would like to receive disbursement via PayPal, we would need to receive your PayPal user ID, usually the email associated with PayPal. We will share teacher payment information with these third parties as necessary to facilitate disbursements of funds associated with lessons taught by teachers.
We will take reasonable steps to safeguard any teacher’s Personal Data that we retain for making disbursements to teachers via paper check or otherwise.
In order to send you email from Lyrebird, we need your email adress. To provide you with additional services, we may also request your name, general location, and telephone number. The amount of Personal Data you provide is entirely up to you. Some minimum Personal Data may be required to complete registration with the website or Platform. We may give some or all of this information to facilitate lessons and communications between students and teachers. We will not give your name, email, or Personal Data to unaffiliated third parties except with your consent or as otherwise set forth in this privacy policy. Personal Data provided by teachers through the Platform may be available to Platform visitors/prospective students/students to facilitate the scheduling of lessons. Though we employ industry standard measures to preserve user privacy, we may need to disclose Personal Data when required by law or when we have a good faith belief that such action is necessary to comply with a current judicial proceeding, a court order or legal process that we receive or to protect our interests or the safety of others. In addition, we may provide Personal Data to employees, consultants or other business or persons for the purpose of processing such information on our behalf. In such circumstances, we require that these parties agree to protect the confidentiality of such information and to comply with the terms of this Privacy Policy. We may use your Personal Data to operate, improve, understand and personalize our Services.
Any Personal Data or content that you voluntarily disclose in public areas, becomes publicly available and can be collected and used by other users for any reason. Your profile pages (“Profile”) and any online “public” classrooms you participate in are typically publicly available. Though this information is optional, we may use it to improve our sites and/or tailor your experience on our sites, showing you content that we think you might be interested in and displaying content according to your preferences. We may also share this information with affiliates or third parties as we deem appropriate.
Usage information. In addition to collecting personal and non-personal information, we may also collect non-personal, aggregated information about subscribers’ use of Lyrebirdbeatbox.com website. This information is not personally identifiable and will be used to find out how subscribers use our Platform and sites. For example, this information will tell us how much time users spend on the Lyrebirdbeatbox.com site, from which sites subscribers came, and to what sites subscribers go. The collection of this information allows us to optimize the functionality of the sites. We may also share this information with affiliates or third parties as we deem appropriate.

We recommand that you guard your sensitive information and we encourage members to think carefully about what information about themselves they disclose in their profile pages. If we ever send you information by email concerning our products or services that you did not expressly request, we will provide you with an opt-out mechanism by which you may request no such future emails.
We may place a unique cookie on your browser and use such cookie to track your non personally identifiable information while you are on our website or Platform. We or our business partners may also collect information that is anonymous, such as your IP address (a number used to identify your computer on the Internet) or the type of browser you are using (“Anonymous Information”), through the use of cookies or by other means. Lyrebird is a site for online beatbox lessons taught over tutorials and video conference with amazing music teachers around the globe. Creating a joyful, safe, and convennient educational experience for our students is our goal.
We welcome students of all ages.
Lessons for children may be booked entirely under the parent account without adding additional child student accounts.
Parents have complete access to their children accounts, including lessons booked and messages sent. Parents can attend their child’s class from the same login.
Any person casually browsing Lyrebirdbeatbox.com is able to see teacher’s profiles, watch their profile videos, and view articles on Lyrebirdbeatbox.com. The ability to view teachers’ schedules, send and receive messages from teachers, and schedule and pay for lessons is restricted to registered users. Users on Lyrebirdbeatbox.com need to be at least 13 to register an account. Users under 13 need to registered by a parent.
We check a registering user’s age immediately upon registration, prior to gathering any of that user’s other personally identifiable information. If the user is under age 13, he or she is prompted to ask a parent or guardian to set up the account.
As with your child in any new interpersonal setting, we encourage you to check it out for yourself – it’s easy to attend the lesson, either by being in the room with your child or by dialing in from another location. You can attend the audio portion of the lesson by phone, or the complete audio and visual by computer with Internet, with or without your own webcam. There’s no additional fee.
Additional Information
Only the parent can create an account for a child under 13. Lesson bookings, reminders, and message notifications will be emailed to the parent account.
We allow parents to revoke their child’s registration with us at any time. If you revoke your child’s registration, we will delete the personal information that your child has provided to us. If you do not revoke your child’s registration, we will use the personal information that your child has provided to us for the purposes stated in the notice. If you want us to revoke your child’s registration, respond to the email you receive notifying you that your child has attempted to register with Lyrebirdbeatbox.com with “revoke”.
By not revoking your child’s registration, you agree that you and your child will be bound by the “Terms of Service” in connection with his/her use of Lyrebirdbeatbox.com Sites and you agree to personally ensure that your child complies with the Terms of Service.
Children Can Participate In Some Lyrebird Site features Without Registering. If you decide to revoke your child’s registration, your child will still be able to surf our site and look at teacher profiles and public classes.

We are committed to only collect the data we need to provide you an optimal service, to ensure confidentiality and security, including when we use external service providers and to facilitate the exercise of your rights on your data. Thus, we comply with all the applicable provisions in terms of protection of privacy and personal data, in particular regarding the amended law of January, 6th 1978 relating to computers, files and freedoms as well as the 2016 EU Regulation / 679 of April 27, 2016 on the protection of individuals regarding the processing of personal data and free circulation of such data.
